Concept site: Loomwork, Inc. is fictional, and the company details are placeholders (addresses and emails use the reserved .example domain). On a real site, every page is filled with the real business details and reviewed by a lawyer in the business's country.
Terms of Service
Last updated: 17 October 2026
These terms are an agreement between Loomwork, Inc. ("Loomwork") and the company that signs up ("Customer"). They're written for business customers; Loomwork is not offered to consumers.
1. Accounts
You must be at least 18 and authorised to bind your company. Keep log-in details safe and tell us about unauthorised use. You're responsible for what happens in your workspace.
2. Free trial and plans
The Team plan starts with a 14-day free trial with no card required; it ends automatically unless you choose a paid plan. Starter is free with the limits shown on the pricing page. Choosing EU or US data residency is part of Enterprise plans.
3. Billing, renewal and refunds
- Prices are shown in USD and exclude sales tax and VAT, which we add where the law requires.
- Paid plans renew automatically for the same period (monthly or yearly) until cancelled. For yearly plans we email a reminder 30 to 60 days before renewal, with a link to cancel.
- Cancel online any time from Settings → Billing. Cancellation takes effect at the end of the paid period; you keep access until then.
- Yearly plans cancelled within 30 days of the start or of a renewal are refunded pro rata. Monthly plans are not refunded.
- We may change prices with at least 30 days' notice; changes apply from the next renewal.
4. Your data
Your business data stays yours. We use it only to provide the service, as described in the Data Processing Addendum, which forms part of these terms and prevails over them on data protection. You can export it at any time, and we delete it within 30 days after the account is closed (backups within 90 days).
5. AI agents: what to expect
- Loomwork uses AI models to read documents and propose actions. AI output can be wrong. You decide which actions need a human approval (for example amounts over a limit) and you remain responsible for approved actions.
- Every agent action is logged with what it read, what it decided and who approved it.
- We do not use your business data to train AI models, ours or our providers'.
- When an agent writes to someone outside your company (for example a vendor), the message says it was prepared by an automated assistant.
6. Acceptable use
Follow the Acceptable Use Policy. We may suspend accounts that put the service or others at risk, after notice where possible.
7. Availability
We aim for high availability on all plans. A financially backed uptime commitment (SLA) applies only to Enterprise contracts that include it in writing.
8. Intellectual property
We own the service and its software; you own your data and outputs created from it. If you send us feedback, we may use it without obligation.
9. Confidentiality and security
Each party protects the other's confidential information with reasonable care. Our security measures are listed in the DPA.
10. Indemnities
Loomwork will defend Customer against third-party claims that the service, as provided by us, infringes their intellectual property, and pay the resulting damages or settlement. Customer will defend Loomwork against third-party claims arising from Customer's data, its instructions to the agents, or its breach of the Acceptable Use Policy. The indemnified party must notify promptly and let the other party control the defence.
11. Warranties and liability
We provide the service with reasonable skill and care. To the extent the law allows, each party's total liability is limited to the fees paid in the 12 months before the claim, and neither party is liable for indirect or consequential loss. Liability for breach of confidentiality or data protection obligations is limited to three times that amount. These limits don't apply to fraud, wilful misconduct, the indemnities in section 10, or Customer's payment obligations.
12. Termination
Either party may end the agreement for material breach not fixed within 30 days of notice. You can close your account at any time.
13. General
- Notices go by email to the account owner and to hello@loomwork.example.
- Assignment: neither party may transfer the agreement without consent, except to a successor of its business.
- Force majeure: neither party is liable for delays caused by events outside its reasonable control.
- Export and sanctions: you won't use the service in breach of export control or sanctions laws.
- Order of precedence: an Enterprise order form, then the DPA (and Standard Contractual Clauses) on data protection, then these terms.
- Entire agreement: these documents are the whole agreement and replace earlier discussions.
14. Law
Governed by the laws of the State of Delaware, USA, with courts in Delaware, unless a different law and venue are agreed in an Enterprise order form.
