Terms of Service

Last updated: 17 October 2026

These terms are an agreement between Loomwork, Inc. ("Loomwork") and the company that signs up ("Customer"). They're written for business customers; Loomwork is not offered to consumers.

1. Accounts

You must be at least 18 and authorised to bind your company. Keep log-in details safe and tell us about unauthorised use. You're responsible for what happens in your workspace.

2. Free trial and plans

The Team plan starts with a 14-day free trial with no card required; it ends automatically unless you choose a paid plan. Starter is free with the limits shown on the pricing page. Choosing EU or US data residency is part of Enterprise plans.

3. Billing, renewal and refunds

4. Your data

Your business data stays yours. We use it only to provide the service, as described in the Data Processing Addendum, which forms part of these terms and prevails over them on data protection. You can export it at any time, and we delete it within 30 days after the account is closed (backups within 90 days).

5. AI agents: what to expect

6. Acceptable use

Follow the Acceptable Use Policy. We may suspend accounts that put the service or others at risk, after notice where possible.

7. Availability

We aim for high availability on all plans. A financially backed uptime commitment (SLA) applies only to Enterprise contracts that include it in writing.

8. Intellectual property

We own the service and its software; you own your data and outputs created from it. If you send us feedback, we may use it without obligation.

9. Confidentiality and security

Each party protects the other's confidential information with reasonable care. Our security measures are listed in the DPA.

10. Indemnities

Loomwork will defend Customer against third-party claims that the service, as provided by us, infringes their intellectual property, and pay the resulting damages or settlement. Customer will defend Loomwork against third-party claims arising from Customer's data, its instructions to the agents, or its breach of the Acceptable Use Policy. The indemnified party must notify promptly and let the other party control the defence.

11. Warranties and liability

We provide the service with reasonable skill and care. To the extent the law allows, each party's total liability is limited to the fees paid in the 12 months before the claim, and neither party is liable for indirect or consequential loss. Liability for breach of confidentiality or data protection obligations is limited to three times that amount. These limits don't apply to fraud, wilful misconduct, the indemnities in section 10, or Customer's payment obligations.

12. Termination

Either party may end the agreement for material breach not fixed within 30 days of notice. You can close your account at any time.

13. General

14. Law

Governed by the laws of the State of Delaware, USA, with courts in Delaware, unless a different law and venue are agreed in an Enterprise order form.
